Celtic Diary Friday January 5: Cold Shoulder Causes Concern

With Dave King frantically trying to raise the money to make the share offer he’s been ordered to by the court, the media have been looking at the implications for other clubs and the effect it will have on the image-and finances- of Scottish football.

Hotshot hacks, desperate to break this latest episode in the long running Ibrox pantomime have been burning the midnight oil as they examine what has happened, what is happening, and what could happen in the next few months.

In fact, they’ve been so diligent in their quest for accuracy, that they’ve allowed a number of internet bampots to steal a march on them, but of course, as we are mere amateurs, we can only speculate, and cannot hope to be anywhere near as precise as they will be when they finally get round to publishing the fruits of their labours.

But, I’ll have a go.

So, this cold shoulder lark, exactly what is it ?

The first reference to the phrase in print is in Sir Walter Scott’s ‘The Antiquary’, 1816:

“The Countess’s dislike didna gang farther at first than just showing o’ the cauld shouther”.

 
‘Cauld’ is Scottish dialect for ‘cold’. Should you doubt that ‘shouther’ means ‘shoulder’, Scott goes on the use the word in other contexts which make the meaning clear; for example, “They were stout hearts the race of Glenallan, … they stood shouther to shouther”.

Note that the shoulder is shown, not eaten – there’s no reference to food here. Likewise, in a slightly later work of Scott’s – St. Ronan’s Well, 1824:  

“I must tip him the cold shoulder, or he will be pestering me eternally.” 

Doesn’t exactly sound serious, although of course it depends on who is tipping you that shoulder.

The Panel on Takeovers and Mergers (the “Panel”) is an independent body, established in 1968, whose main functions are to issue and administer the City Code on Takeovers and Mergers (the “Code”) and to supervise and regulate takeovers and other matters to which the Code applies. Its central objective is to ensure fair treatment for all shareholders in takeover bids.

Thats who King is up against, as he continues to introduce his novel and refreshing ways of doing business to these shores.

They work alongside the Financial Conduct Authority, and between them, they keep the streets of the city clean.

But there seems to be a less than healthy reliance on self regulation in the world of banks and finance, which is why the industry went to the taxpayer for a handout a few years ago, when it was discovered that a fair percentage of them were, in fact, either piss poor at their jobs or just plain dishonest.

This might explain why King is so blaise about the panel, and as he and his PR team have the eyes, ears and adoring tongues of the media in Scotland, its also maybe why they are reluctant to report on the issue beyond , well, beyond the basics.

In effect, he is telling them its not a problem, and they are lapping it up.

He might actually be right.

The chaps in the city are big on reputations.

Robert Alexander QC, former chairman of the panel, explained how he felt this is important in his speech back in 1987.

It is sometimes said that the Panel lacks adequate power of sanction. In fact, the decisions of the Panel are in practice complied with. Almost all of those with whom the Panel deals are concerned to comply, and to be seen to comply, with the Code. This reflects in very great part the grave damage to the reputation of individuals advisers and companies which would result from a breach of the Code or a failure to accept our decisions 

King doesn’t give a toss about his reputation, thats evident, and so it follows that he won’t give a toss about any cold shouldering either. That, in turn, explains why the media don’t think its a problem, because they gave up on independent thinking a long, long time ago.

Cold shouldering rules are simple , they

require investment businesses not to act for persons who they have reason to believe would not comply with UK practice and standards in take-overs. 

Or they’ll be, er, cold shouldered. And they actually do give a toss about their reputations, because thats how they make their money.

When doubts begin to creep in, then people lose money.

People such as shareholders. Shareholders in a business that does business with those who have been cold shouldered.

The Takeover Panel have done a fair bit of work in establishing that King and his concert party are “wrong ‘uns ”

Read this, but you’ll need a couple of hours to digest it.

Its fairly clear that all of those involved cannot be trusted to adhere to the rules.

From that file…

On 31 December 2014 Messrs George Letham, George Taylor and Douglas Park purchased in aggregate 16.32% of the shares of Rangers International Football Club PLC (“Rangers”). On the same day Mr David King instructed Cantor Fitzgerald to purchase 14.75% of the shares of Rangers through New Oasis Asset Management Limited (“NOAL”), a company registered in the British Virgin Islands and wholly owned by Sovereign Trustee International Limited, the trustee of trusts settled by Mr King on behalf of himself and his family. That purchase was effected on 2 January 2015. The shares thus acquired carried in aggregate more than 30% of the voting rights of Rangers. Together with shares previously acquired by Mr Taylor, the shares owned by NOAL and by Messrs Letham, Taylor and Park after 2 January 2015 amounted to 34.05% of Rangers’ issued share capital. 

The principal issue in these proceedings is whether, in effecting these purchases, Messrs Letham, Taylor, Park and King were acting in concert within the meaning of 2 Rule 9.1 of the Code on Takeovers and Mergers (“the Code”) so as to trigger an obligation to extend an offer to acquire the shares of other shareholders on the terms stipulated by Rules 9.3 and 9.5. 

Cutting a long story short, the Panel came to a decision, and informed the concert party in writing

Now, the cold shoulder rules only work if they are adhered to. That sounds rather obvious, but supposing the Concert Party , now established as

 persons who they have reason to believe would not comply with UK practice and standards in take-overs. 

were to go about their business as normal, and just ignore it.

Well, the thing is , if you, as a business, ignore the ruling, then you get the old cold shoulder treatment as well. And you might be a little more concerned about your reputation than, say, a “glib and shameless liar ”

To err on the side of caution, to use a phrase, it would be wiser to have no dealings whatsoever with a company-or club-which has seen four of its directors-or former directors, I can’t keep up with the musical chairs over there, largely on account of not really giving a toss apart from the humour potential- frozen out because the regulatory bodies think they’re crooks.

Widen the net a little, and ponder with me a few possibilities..

and by implication, someone who may not comply with any other business rules, which is what I reckon this is all about, is Douglas Park, the former home of Hamilton Academicals, who then in the finest Ibrox tradition, became New Douglas Park..

Ah, wait.

You see, the problem is that there is kind of a cloud around Ibrox, and no one can really be sure whats going on.

Douglas Park owns Parks of Hamilton, which must be how I got confused with the ground, which might have been named after him, or he might have been named after the ground. No one has ever clarified it.

As a shareholder, I’d like to ask if there are any plans to continue to use a company which bears the name of a member of the concert party which has flouted the rules of the Financial Conduct Authority 

You see, I’m quite certain that sponsors, investors and anyone else concerned with the image if Celtic FC  will take note of that when they consider whether or not to purchase, or indeed sell any shares.

And,  if upon consideration, they decide to place their money elsewhere, then it follows that the value of shares, which we are told can go up or down, will, in fact, go down.

That would be the same with any club who has dealings with the Ibrox four, or any league they play in.

As my mother would tell me, if they are going to steal your dinner money, then they aren’t really your friends , are they ?

So, if I may ask those who perhaps have a better knowledge of how these things work than I, why are Celtic not clarifying a few things for us, such as why they have contracts with dodgy businessmen ?

 

You see, when it comes down to it, I’m not concerned about which shady character is making a dollar from the Celtic table, not really. We all know the world of finance is dodgy, we all know that these kind of people have little or no emotional attachment to what they do and why they do it.

But there are some of us who bought our shares, and made a commitment en masse to save our club, who are concerned about this.

Thats because for us the club is entirely an emotional investment, and frankly, we don’t want to see the good name of Celtic Football Club associated with wrong ‘uns.

Which is why the term Old Firm is now even less palatable than before, as it  associates the good name of Celtic with the names of those

who they have reason to believe would not comply with UK practice and standards in take-overs. 

We’re a club like no other, right ?

At the very least could I ask Celtic to confirm beyond all doubt that we have absolutely no connection, implied or otherwise with the basket of assets being shuffled around across the city ?

What we must guard against is the fact that those behind the biggest sporting scandal in history will happily drag the rest of us into the mire with them when they go down.

We need to step away now, or we are going to have one almighty bitemark on our bottoms,

Wait until Jan.21st to see what King does. Can ALL of Scottish football ignore the cold shoulder, not just Celtic.

Of the other 3 bears, I reckon Dougie Park is the one whose reputation will be most damaged by any cold-shouldering. Not only does he risk the contracts his business holds with football clubs, and perhaps Scottish tour companies and the likes – his car showrooms are tied in with the Motability scheme which, I believe, are government-controlled. Given that no monies have been paid to HMRC by oldco (separate issue, I know), HM Treasury can put pressure on the government to withdraw Parks from that scheme. Furthermore, the motor industry will not be best pleased at the reputational damage to manufacturers such as BMW (who also own Mini), VAG (Volkswagen / Audi / Seat / Skoda), Ford, as well as GM. Also, any potential loss of business puts the jobs of Parks employees at great risk. I don’t think Douglas Park is that stupid as to risk his entire business (including his reputation) just to remain King’s BFF.

I already have taken a personal stance in where I buy my car, take it for servicing, etc. Even if that loss of trade amounted to only 60,000 Celtic fans, that’s one helluva lot of money to lose – even more so if your entire customer base turns against you!

Surely playing the sevs home or away must involve some sort of financial transaction with them in which case the cold shoulder would also apply to that club.

If this is true then no one can afford to play the sevs.

EVERY club in Scotland, The SFA and the SPFL need to be addressing this matter now.

A number of years ago I was travelling down south with my family using Parks of Hamilton’s buses. There were three buses travelling and I overheard two of the drivers discussing the third driver wondering how “wan o’ them’ managed to get a job with Park’s. I have never quite managed to forget this incident which is probably over 40 years ago. However, over these years I’ve never been tempted to buy a car from Parks.

Desk I haven’t apportioned time to get a grasp on the res 12 stuff I hope that doesn’t make me an outsider. I know they cheated big time and the whole thing is rotten. I get bored with it all and didn’t live through all those barren years in Glasgow in fact between 1976 and 1996 I relied on media reports about celtic. The internet changed all that thank god.

I’m sure I’d have the same zeal for this stuff as all you boys in getting a fair outcome as far as the cheating is concerned. However I won’t get consumed by it all. There are a lot smarter people than me in the job and I wish them well with their efforts . Just glad to be a Tim

The cold shoulder sanction has only been issued twice: Once in 1992 and again in 2017. The 1992 decision is particularly interesting.

This is the link to the decision on Andrew Drummond’s acquisition of a controlling interest in Dundee FC and I think you will see the similarities between that and King’s behaviour.

I find it embarrassing that, when Dave gets the same treatment, Scottish football will represent two-thirds of all the cold-shoulders ever issued. The SFA/SPFL needs to take a long hard look at their criteria for determining fitness and propriety of club owners.

One important aspect to bear in mind is that the cold shoulder only impacts directly on companies regulated by the FCA/PRA. However, I would think the indirect impact would be much more of a concern to the Directors of Sevco.

Interesting footnote to the Andrew Drummond case. Eight years after the Takeover Panel ruling, he was jailed for embezzlement in an unrelated case, but walked after only 4 months on a technicality.

Celtic PLC should not be doing business with Parks of Hamilton.
The bus operation is wholly owned by Parks of Hamilton (holdings) Limited. Company Number SC 066 568
In its confirmation statement this company states that the only person with Significant Control is Mr. Douglas Ireland Park with ownership of more than 75% of the shares.
Mr Park is part of the Illegal concert party as defined by the Takeover Panel.
He is as toxic as Dave King and even although like the great Desmondo resident in Switzerland his UK businesses will be very much affected if DCK keeps taking the TP for prxcks.

Hamilton Academicals (Douglas Park) was originaly
Sited in Douglas park Lane Burnbank Hamilton
Hence the stadium name Douglas Park.
It was bought in order to build a retail park
And re sited close by hence New Douglas park.
Therefore park himself must have been called after the stadium. And as fact he tried to buy
The football club about 40 odd year ago but the
Board at the time would not sell it .

David King ‘s case is just a little different than Andrew Drummond in some small areas . Dave King found guilty of tax embezzlement before his fraudulent acts in Football, Andrew Drimmond afterwards . The wee technicality in D King’s case cost him 85m rand. ( or some other vast amount )

Not come into force,yet.However,Huns offered 600,000 with add ons.Their chairman then did due diligence on GASL and a company running whilst insolvent and subsequently,has asked for £1.2m up front….watch this space….and I would advise hotels in Florida to take cash only from dodgy looking “guests” that’ll turn up soon……

Bayern Munich had class. When I arrived at Celtic Park for the game, Bayern players arrived in their own beautiful and comfortable red coach with the club’s name in massive letters on the sides. Sheer quality. I was talking to some German fans at the time and it seems that the players are flown over as is normal for Euoropean ties. However, the bus comes over separately and picks the players up at the airport. So the bus is available at all times to transport players to and fro before finally taking them back to the airport for the journey home. The bus would obviously make its own way home by ferry. I would assume that both buses are used to transport players to games in Germany.

Celtic have enough financial clout to consider such a scenario themselves, especially when they are planning the Celtic Village and Hotel. Having your own club buses would save an absolute fortune in the long run for an initial investment. It would mean that Celtic FC would not be reliant on outside transport and connections with bus companies and would create a few new jobs. What is not to like about this?

When I say “both buses”, there would be two. One comes over here in time for the players arrival at the airport. The other transports the players to the airport in Germany. The buses would work in tandem.

Remember that the dead club were Scotland’s establishment club and have many friends in various circles who’ll bend over backwards to try and make sure this entity doesn’t go tits up. Darker forces at work, methinks. See SFA as an example.

If the bet is administration rather than liquidation, you have a reasonable chance.

On the trading issue, Sevco have previous on trading for players when in financial trouble. The Rangers did this the season before they went bust. Also they tried to buy Cousin when they were on their uppers. No surprise there with the Murphy deal.

Think about the Murphy deal. He cost Brighton between 600,000 and 700,000 from Sheffield. He has played about 165 minutes total this season and is not in the first team squad any longer. Do you really think he is valued at 1 million? Half of that as a max is more likely, IMHO. So on a three year deal, Sevco need to find one third of this value now. We are now talking about 100,000 to 160,000, probably paid in installments over the rest of the season. They can manage this, especially if the get rid of a few players.

i agree. i think theyll go into administration, but theyll wait until after the league splits. that way theyll still end up in the top 6 even with a 10,15,20 points deduction, and that way theyll stay clear of a possible relegation battle.

I agree that Celtic should have our own buses to transport players to and from games both in Scotland and in Europe (EU). Professional drivers and customer built would be another sign of our ability to work professionally and get us away from Parks. At some point even though the MSM are doing their best to ignore it, the King case will have major repercussions for Sevco. The fact that they are trying to sign new players is also puzzzling given their continued losses and precarious financial situation. Again at some point whether the SFA want to investigate it or aviod it, the Sevco financial house of cards will fall. Celtic and the other clubs better be ready for it so that it has no to very little impact on the rest of us.

I just can’t help but laugh at all the morons who claim to be journalists and the Sevconians frothing at the mouth when King allegedly “saved” them. Turns out he’s only wanting the 20 million back that he’s supposed to have invested in the dead club. Gullible doesn’t even fit for the Ibrox hordes. Everything seems to be rosy since they managed a point against us and have signed 2 players who aren’t anything to shout about. I can’t believe that they are buying into all this shengi, surely they’re not that daft? Then again.

My understanding, which might be wrong, is that the CS does not take effect until and if DK does not make a share offering by Jan 21.

I would think that Park and the others would be concerned about the CS, even if DK is not. They do business in the UK.

A cording to rumour, Sevco are 800,000 pounds in debt to suppliers….many of whom are small businesses. After Jan 21 do these businesses stop trading with Sevco and risk throwing away their acrued debt from Sevco. Tough call for these firms to make.

Indo not think we have seen the last twist in this tale of body swerves. Delay, delay may be DK’s strategy to push the deadline beyond Jan 21.

Does the average Sevco fan not see what a parcel of rogues they have running their club?

You are correct sir, they are the most delusion fans in football today. Talking about going for 55 and looking to 2018 with optimism. When they do hit the wall and the creditors comer looking for their money again, it’s going to be very tough for them. Especially watching everybody else with Jelly and Ice Cream bowls 🙂

Simple,if GASL won’t do walking away,they go into liquidation.They want a buyer(rumoured to be Sir Bribe and Lie) for the assets and go into voluntary admin.Once they come out of admin,their debts have disappeared.They take a points deduction but will still be able to trade.If GASL stays with cauld shoulder then it is beholden of all UK businesses to toe the line and not deal with the Establishment (in their wee minds) Club/company.

Who have we signed? Still just shuffling along, barely breaking sweat to keep ahead of the deed club. All the while edging closer to the leisure industry and further away from the football club that we should be.
Next thing will be Celtic ( Fortes) Football Club, Celtic whiskey sold in green and white hooped bottles. A single malt to get you pished and distract your mind from the reality of what fitba should be. Buses are just a distraction. What would you rather have? Two bright shiny yearly devaluing hunks of metal or contributions to good causes?

I have long held the belief that King is acquiring monies from wherever, and is filtering it into the Newco. Hence the reason he removed the Huns from any regulatory financial body, AIM etc. Whatever you may feel about the Three Bears, most are businessmen and they are not stupid nor will they be duped.
The British and American financial institutions were allowed to build up trillions of Dollars of debt which the FSA turned a blind eye to and we are still suffering because of that. When you put Kings cauld shooder into context…… small change.

You may be right Mike and that said in this case, there actually has been a legal procedure and a judgement – unlike the financial crisis which was caused by scrapping sensible regulations and allowing the bankers to fire away. Here the previously convicted King has been found against again! A couple of things B/Burn, firstly the new regulations have become diluted…again, this takeover panel does not have the same clout as the Financial Services Regulator and the King doesn’t do shame, he could not care less.
